Please read carefully: This End User License Agreement ("EULA") is a binding legal agreement between you (the "User") and Carriage Models Inc. ("Carriage Models," "we," "us," or "our") governing your use of the Carriage Models Excel Add-in (the "Software"). By installing or using the Software, you accept these terms. If you do not agree, do not install or use the Software.

1. License Grant

Subject to your compliance with this EULA and payment of applicable subscription fees, Carriage Models grants you a limited, non-exclusive, non-transferable, revocable license to use the Software as follows:

a) Installation and Use: You may install and use the Software on any compatible device in accordance with your subscription plan.

b) Multi-Device Access: You may access the Software across multiple devices (desktop, laptop, tablet) using the same account associated with your subscription.

c) Third-Party Integration: The Software may integrate with third-party products and services, including Microsoft Excel. Where applicable, your use of third-party products is governed by their respective terms of service.

d) Subscription Term: This license is valid only during your active subscription period. Your right to use the Software terminates automatically upon subscription expiration or cancellation.

2. Restrictions and Limitations

2.1 Confidentiality Obligations

The Software, along with any non-public documentation, materials, product roadmaps, pricing, and technical information provided by Carriage Models (collectively, "Confidential Information"), constitutes valuable trade secrets and proprietary information. You agree to:

Keep all Confidential Information strictly confidential
Use Confidential Information solely to exercise your licensed rights under this EULA
Protect Confidential Information with at least the same care you use to protect your own confidential information (and no less than reasonable care)
Not disclose Confidential Information to third parties, except to employees and contractors with a legitimate need to know who are bound by equivalent confidentiality obligations

Exceptions: Information is not considered Confidential Information if you can demonstrate by written records that it: (a) was publicly available through no breach of this EULA; (b) was known to you before disclosure by Carriage Models; (c) was independently developed without reference to Confidential Information; or (d) was received from a third party without restriction. If legally compelled to disclose Confidential Information, you will provide Carriage Models prompt written notice (where permitted) and cooperate to limit the scope of disclosure.

What You Cannot Do

You may use the Software for your own internal business or personal purposes. However, you may not:

• Copy, modify, or create derivative works of the Software
• Distribute, sell, rent, lease, or sublicense the Software to others
• Remove or obscure any proprietary notices or branding
• Use the Software to develop a competing product or service
• Publicly publish benchmarks or performance tests without our consent
• Share your account credentials or allow others to use your subscription

Reverse Engineering

You may not reverse engineer, decompile, or disassemble the Software, except where applicable law specifically permits such activity despite this restriction.

Single Product

The Software is licensed as a single, integrated product. You may not separate its components for use independently.

Support

We provide support services to active subscribers. Support is available via email at support@carriagemodels.com and through our website at carriagemodels.com/support.

Account Rules

One subscription, one user: Each subscription is personal to you. You may not share your login credentials or allow others to use the Software under your account. If you need multiple users, each person must have their own subscription.

No Transfers

Your subscription license is non-transferable. You cannot sell, assign, or give away your subscription rights to another person or organization.

Termination

Your license ends when your subscription expires, you cancel, or we terminate for violation of these terms. Upon termination:

• Your access to the Software stops immediately
• Any cloud-stored data may be deleted per our data retention policy
• You retain ownership of any Excel files you created

3. Intellectual Property

Carriage Models and its licensors own all rights, title, and interest in the Software, including all intellectual property rights. The Software is protected by copyright laws and international treaties. This EULA grants you a license to use the Software—it does not transfer any ownership rights to you.

4. Privacy and Data

Your privacy matters to us. The Software may collect and process your data to provide requested functionality and improve our product and support. For complete details about what data we collect and how we use it, please read our Privacy Policy.

5. Microsoft Integration

a) Distribution: The Software may be distributed through Microsoft AppSource and other channels. If obtained through Microsoft AppSource, your use is also subject to Microsoft's AppSource terms and policies.

b) Excel Integration: The Software includes features that integrate with Microsoft Excel. For these features, Microsoft Excel 2019 or later, or a Microsoft 365 subscription may be required. Some features may vary by Excel version.

c) Independence: Carriage Models is an independent company and is not affiliated with, endorsed by, or sponsored by Microsoft Corporation.

6. Export Compliance

The Software may be subject to export control laws. You agree to comply with all applicable export laws and regulations, including U.S. Export Administration Regulations.

7. Warranty Disclaimer

Important: Please read this section carefully as it limits our liability.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARRIAGE MODELS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be error-free, uninterrupted, or meet your specific requirements. You use the Software at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARRIAGE MODELS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SOFTWARE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR SUBSCRIPTION IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Governing Law

This EULA is governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. Any disputes will be resolved in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.

10. Subscription and Billing

a) Billing: Subscription fees are charged in advance (monthly or annually, as you choose). Fees are non-refundable except where required by law.

b) Auto-Renewal: Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date.

c) Price Changes: We may change pricing with at least 30 days' notice. New prices apply at your next billing cycle.

d) Cancellation: Cancel anytime through your account settings or by emailing support@carriagemodels.com. You'll retain access until the end of your current billing period.

11. General Terms

Entire Agreement: This EULA, together with our Privacy Policy, is the complete agreement between you and Carriage Models regarding the Software and supersedes all prior agreements.

Changes to Terms: We may update this EULA from time to time. We'll notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.

Severability: If any provision of this EULA is found unenforceable, the remaining provisions will continue in full effect.
